Bolt Biotherapeutics has acquired Prana Therapies through a stock-for-stock reverse merger and agreed a concurrent private placement expected to generate $120 million in gross proceeds. The financing was scheduled to close on 26 October; accompanying warrants could provide up to another $60 million if exercised.
The lead programme, PRA-216, combines IL-4 receptor alpha and TSLP targeting. Phase 2 studies are underway in asthma, chronic obstructive pulmonary disease and atopic dermatitis, with an eosinophilic oesophagitis study planned. Patient readouts are expected to begin in the second quarter of 2027.
Bolt expects the financing to support operations into 2028. Existing Bolt holders would own approximately 6.9% of the combined equity on the company's specified fully diluted basis.
The transaction therefore offers a substantially different investment proposition, alongside substantial dilution. Its value will depend on whether Prana's clinical results justify the expanded development programme and demonstrate meaningful advantages in crowded inflammatory-disease markets.
